Specific deliverables, timelines, pricing, warranties, and service levels for any engagement are governed by a separate signed proposal, quotation, statement of work, or service agreement (“Engagement Documents”). In the event of any conflict, the Engagement Documents prevail over these Terms.
You agree to use the Site only for lawful purposes. You must not:
All content on the Site, including text, graphics, logos, images, videos, software, and the “Smart I.T Solutions” brand, is owned by or licensed to Smart I.T Solutions Inc. and is protected by Philippine and international intellectual property laws.
You may view and download Site content for your personal, non-commercial reference only. You may not reproduce, distribute, modify, publicly display, or create derivative works from any content without our prior written consent.
Trademarks, partner logos, and brand names of third parties (e.g., Cisco, TP-LINK, Panasonic, Samsung) appearing on the Site remain the property of their respective owners and are used for identification purposes only.
Pricing displayed on or shared through the Site is indicative and subject to change without notice. Final pricing, scope, delivery timelines, and acceptance criteria are set out in the Engagement Documents for each project.
Quotations are typically valid for thirty (30) days from issuance unless stated otherwise. We reserve the right to decline or withdraw any proposal at our discretion before a contract is signed.
Payment terms, milestones, taxes, and accepted payment methods are specified in the applicable Engagement Documents. Unless otherwise agreed in writing:
Online payments are processed through our authorized payment processor, PayMongo, which supports credit and debit cards, GCash, Maya, online banking, and QR Ph. By submitting a payment, you also agree to the terms of the relevant payment processor. We do not store full card numbers or banking credentials on our systems.
We deliver our services with reasonable skill and care, consistent with industry standards. Equipment-specific warranties (e.g., for CCTV, biometric devices, networking gear) are passed through from the original manufacturer and are subject to that manufacturer's terms.
Except as expressly stated in the Engagement Documents, the Site and its content are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by Philippine law, Smart I.T. Solutions Inc., its directors, officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunity, arising out of or in connection with your use of the Site or our services.
Our total aggregate liability under any engagement is limited to the fees actually paid by the client to Smart I.T Solutions for the specific service giving rise to the claim, during the twelve (12) months preceding the event.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
The Site may contain links to third-party websites, partner platforms (such as ISP providers), or services that are not owned or operated by Smart I.T Solutions. We are not responsible for the content, policies, or practices of any third-party sites or services. Accessing them is at your own risk and subject to their terms.
Where you share confidential business information with us in the course of an inquiry or engagement, we will treat it with reasonable care and use it only for the purpose for which it was disclosed. Reciprocal obligations apply to confidential information we share with you. Detailed confidentiality terms, including those covering deployments, network diagrams, and access credentials, are addressed in the Engagement Documents or a separate NDA.
We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or applicable law. Termination of any service engagement is governed by the relevant Engagement Documents.
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the use of the Site shall be submitted to the exclusive jurisdiction of the proper courts of Antipolo City, Rizal, Philippines.
We may revise these Terms from time to time. The most current version will always be posted on this page, with the “Last updated” date refreshed accordingly. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
